Introduction

Welcome to Onlook Studio ("Onlook," "we," "us," or "our"). These Terms of Service ("Terms") govern your use of our desktop application ("App") and any related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use our Services.

1. Acceptance of Terms

By downloading, installing, or using the App, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Eligibility

The Services are intended for users who are at least 18 years old. By using the Services, you represent that you meet this age requirement.

3. User Accounts

3.1 Account Creation

To access certain features of the Services, you may need to create an account. You can register using third-party identity providers such as Google or GitHub. By connecting through these services, you grant us access to certain information from your profile, such as your name, email address, username, and avatar image URL.

3.2 Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately at support@onlook.dev if you suspect any unauthorized use of your account.

4. Use of the Services

4.1 License Grant

We grant you a non-exclusive, non-transferable, revocable license to use the App solely for your personal or internal business purposes, in accordance with these Terms.

4.2 User Conduct

You agree not to use the Services for any unlawful or prohibited activities, including but not limited to:

- Engaging in illegal or unethical activities.

- Violating any applicable laws or regulations.

- Infringing upon the intellectual property rights of others.

4.3 Termination or Suspension

We reserve the right to terminate or suspend your access to the Services at our sole discretion, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

5. User-Generated Content

5.1 Ownership

You retain all rights to the content you create using the Services ("User Content"). We do not claim ownership over your User Content.

5.2 License to Onlook

By using the Services, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and display your User Content solely for the purpose of providing and improving the Services.

5.3 Responsibility for Content

You are solely responsible for your User Content. We do not endorse any User Content and expressly disclaim any and all liability in connection with User Content.

6. Data Collection and Privacy

6.1 Data Collection

We collect certain information from you to provide and improve our Services, including:

- Personal Information: Name, email address, username, and avatar image URL.

- Usage Data: Actions taken within the App, such as inserting text or changing colors.

- Technical Data: Device information, operating system, and IP address.

6.2 Use of Data

Your data is used for:

- Providing and maintaining the Services.

- Improving and customizing user experience.

- Marketing and promotional purposes.

6.3 Data Sharing

We may share your data with third-party service providers who assist us in operating the Services, including:

- Mixpanel: For analytics services.

- Supabase: For cloud services and data storage.

6.4 Data Security

We implement reasonable security measures to protect your data. Sensitive access tokens are stored locally and encrypted. However, no method of transmission over the internet or electronic storage is 100% secure.

6.5 Cookies and Tracking Technologies

The App may use cookies and similar technologies through its underlying Electron framework to enhance user experience.

7. Intellectual Property

7.1 Onlook's Intellectual Property

All content, features, and functionality of the Services (excluding User Content) are owned by Onlook and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

7.2 Open Source Components

The App's codebase is open-source under the Apache 2.0 license and is distributed through GitHub. Your use of the open-source components is subject to the terms of the applicable open-source license.

7.3 Feedback

Any feedback, comments, or suggestions you may provide regarding Onlook or the Services is entirely voluntary, and we will be free to use such feedback without any obligation to you.

8. Third-Party Services

The Services may contain links to third-party websites or services that are not owned or controlled by Onlook, including:

- GitHub

- Discord

- Loops.so

- Framer

We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party sites or services. Use of these third-party services is at your own risk.

9. Disclaimers and Limitation of Liability

9.1 "As Is" Basis

The Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied.

9.2 Limitation of Liability

To the fullest extent permitted by law, in no event shall Onlook, its affiliates, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.

9.3 No Warranty

We do not warrant that:

- The Services will function uninterrupted, secure, or available at any particular time or location.

- Any errors or defects will be corrected.

- The Services are free of viruses or other harmful components.

- The results of using the Services will meet your requirements.

10. Indemnification

You agree to defend, indemnify, and hold harmless Onlook and its affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from:

- Your use of and access to the Services.

- Your violation of any term of these Terms.

- Your violation of any third-party right, including without limitation any intellectual property or privacy right.

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

11.2 Dispute Resolution

Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will notify you of any changes by email or through the App. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.

13. Termination

13.1 By User

You may terminate your account at any time by discontinuing use of the Services.

13.2 By Onlook

We may terminate or suspend your account and bar access to the Services immediately, without prior notice, for any reason whatsoever, including without limitation if you breach the Terms.

13.3 Effect of Termination

Upon termination, your right to use the Services will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive.
